By accessing or using the website located at agrigreen.com (the “Site”) and any services offered by Agri-Green Farm Management LLC (“Agri-Green,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). Agri-Green provides farm management, agronomy consulting, Soil Asset Recovery (SAR), plastic refurbishing, and seed product services. Through our Site, you may access information about our services, submit inquiries, access client portals, and engage with tools designed to support agricultural operations.

Certain features of the Site may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 6. Limitation of Liability

To the fullest extent permitted by applicable law, Agri-Green and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of or inability to use the Site or our services, regardless of the theory of liability. Our total liability to you for all claims arising out of or related to these Terms or the Site shall not exceed the amount you have paid to Agri-Green in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Agri-Green and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of another party.

10. Dispute Resolution

If mediation is unsuccessful, the dispute shall be resolved by binding arbitration administered in the State of Indiana in accordance with the rules of the American Arbitration Association. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys’ fees unless the arbitrator determines otherwise.

11. Termination

We reserve the right to suspend or terminate your access to the Site and our services at any time, with or without cause and with or without notice. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Agri-Green reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. We will update the “Last Updated” date at the top of this page.
